1. Agreement

These Terms of Service ("Terms") form a binding agreement between you (the "Customer") and AZ Global Automotive Software ("we," "us," "our") regarding your use of our platform, including the website at azgasystems.com and the hosted shop management services we provide.

By subscribing to our services, you confirm that you have read, understood, and agree to these Terms. If you are accepting on behalf of a business, you confirm that you have authority to bind that business.

2. The Services

We provide a hosted software platform for diesel repair shops and similar automotive businesses. Standard services include:

Optional add-on modules (Workshop Management, Accounting & Financials, Custom Domain Setup) may be added to your subscription. Add-ons are subject to additional fees as published on our website.

3. Your Account

To use the services, you must create an account and provide accurate information about your business. You are responsible for:

You may not create more than one account per business without our written permission. You may not share your account with third parties or use it on behalf of others not authorized by the account owner.

4. Payment and Subscription

Setup fees

One-time setup fees (currently $2,500 for the standard package, $49 for custom domain configuration) are charged at the start of your subscription. Setup fees are non-refundable once setup work has begun.

Monthly subscription

Monthly subscription fees are charged in advance on the same day each month, starting on the date you first subscribe. We use Stripe for payment processing. By subscribing, you authorize us to charge your selected payment method on a recurring basis until you cancel.

Failed payments

If a recurring payment fails, Stripe will automatically retry over the following days. You will receive notifications from Stripe and from us. If payment remains unsuccessful after Stripe's retry schedule, your subscription will be paused and your shop's site may be temporarily disabled until payment is resolved.

Refunds

Monthly subscription fees are non-refundable for partial months. If you cancel mid-month, you retain access for the remainder of the billing period. Setup fees are non-refundable.

Price changes

We may change subscription pricing with at least 30 days' notice. Price changes take effect at the start of the next billing cycle after the notice period.

5. Acceptable Use

You agree NOT to use the services to:

6. Your Content

You retain ownership of all content you upload to the platform, including your business information, customer records, photos, logos, and any other materials ("Your Content").

By uploading content, you grant us a limited license to host, store, and display that content as necessary to provide the services. This license ends when you delete the content or cancel your subscription.

You represent and warrant that you have all rights necessary to upload Your Content and that it does not infringe any third party's rights.

We do not claim ownership of your customer data. On cancellation, we'll export your customer records, invoices, service history, and other operational data in standard formats (CSV/JSON) within 30 days of your request.

7. Intellectual Property

We own all rights to the platform itself, including the source code, designs, trademarks, and documentation. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your business. This license ends when your subscription ends.

"AZ Global Automotive Software" and our logo are our trademarks. You may not use them without our written permission, except to refer to us as a service provider.

8. Service Availability

We use industry-standard hosting infrastructure (Netlify, Supabase) with high availability targets. However, we do not guarantee 100% uptime. Scheduled maintenance, third-party outages, internet issues, or unforeseen technical problems may cause temporary unavailability.

9. Cancellation and Termination

After cancellation, you retain access until the end of your current billing period. We retain your data for 30 days after cancellation to allow data export. After 30 days, your account and data are permanently deleted.

10. Disclaimers and Warranties

The services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that defects will be corrected. You use the services at your own risk.

Some jurisdictions don't allow disclaimers of implied warranties, so the above may not apply to you in full.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from these terms or the services shall not exceed the amount you paid us in the 12 months preceding the claim. We shall not be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost data, business interruption, or loss of goodwill, even if advised of the possibility of such damages.

Some jurisdictions don't allow limitation of liability for certain damages, so the above may not apply to you in full.

12. Indemnification

You agree to defend, indemnify, and hold harmless AZ Global Automotive Software and our service providers from any claims, damages, costs, or expenses (including reasonable attorney fees) arising from:

13. Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.

Any disputes will first be attempted to be resolved informally by contacting us at hello@azglobalautomotive.com. We commit to making a good-faith effort to resolve disputes within 30 days.

If informal resolution fails, disputes will be resolved through binding arbitration in Maricopa County, Arizona, except that either party may bring claims in small claims court.

You agree that any dispute will be brought individually and not as part of a class action.

14. Changes to These Terms

We may update these Terms from time to time. For material changes, we'll notify active subscribers by email at least 30 days before the changes take effect. Continued use of the services after changes take effect means you accept the updated Terms. If you don't agree, you may cancel before the changes take effect.
